  • Disney raises bid for 21st Century Fox assets to more than $70.3 billion

As we've previously reported, the sale to either Disney or Comcast would include 21st Century Fox's film and television studios, cable entertainment networks, the Fox Sports Regional Networks, and global properties including Star in India and Fox's 39-percent ownership of Sky across Europe. Disney's latest enticement is worth $71.3 billion in cash and stock - almost $19 billion north of the company's $52.4 billion bid, which Fox accepted last December.

Deadline reports most analysts and industry observers had expected Disney to match Comcast, but not go so much higher.

Disney's sweetened offer for Fox's studio and select cable assets is valued at $71.3 billion, besting its December 2017 all-stock bid of $52.4 billion, or $28 per share, and eclipsing Comcast's recent all-cash bid of $65 billion.

"We remain convinced that the combination of 21st Century Fox's iconic assets, brands and franchises with Disney's will create one of the greatest, most innovative companies in the world".

Fox said it would now allow shareholders to evaluate Disney's amended offer.

In a call with analysts, Iger said he believes Disney's bid is superior to Comcast's from a regulatory perspective, and said that six months of dealing with regulators both in the USA and internationally has given Disney a 'meaningful head start'.

However, despite this praise, Fox's board has stated that it retains the rights to weigh competing bids.

Disney said on Wednesday it is raising its offer because Fox's value increased due to "tax reform and operating improvements".

The US government is now suing to block a merger between Time Warner, and the telecoms giant AT&T. "Direct-to-consumer distribution has become an even more compelling proposition in the six months since we announced the deal".

The new cash-or-stock deal may be attractive to Fox's largest shareholder, Rupert Murdoch, who owns 17 percent voting shares along with his family. Insiders speculated that Comcast would again provide a counter bid, but with federal approval imminent it could be a moot point.

'Above $80 billion would be a tough pill to swallow for Disney shareholders given the steep price, ' he said.

Mr Murdoch, whose family trust has an economic interest of 16.6% in Fox, stunned the media industry when, just before Christmas previous year, he agreed to sell most of the company to Disney in a deal that would represent the biggest shake-up in Hollywood since the 1930s - bringing together respectively the fourth and second largest movie studios in Tinseltown. Comcast and Disney each own a 30 percent stake in Hulu and Time Warner holds 10 percent.
